A checklist is an essential tool in the due diligence phase. It helps the acquiring company ensure that all required information is available for decision-making, while enabling the target company to organize and present critical documents. Traditionally managed via Excel files shared over email, checklists often create inefficiencies, such as version confusion and redundant updates.
The due diligence checklist feature eliminates these challenges by enabling administrators to upload, edit, and manage their checklists directly within the project. This centralization fosters streamlined collaboration, real-time updates, and enhanced confidence in the process.

Using the due diligence checklist
Enable access to checklist
Administrators can enable the due diligence checklist functionality for other participants while creating a new group or editing an existing one. The corresponding setting is under the Project management section.
Feature permissions determine which groups can access the checklist. By default, it is disabled, and groups without enabled permissions cannot see the checklist section in the project.
Upload and manage checklists
Administrators and other participants with Edit permissions can create multiple checklists within the project. To upload the first checklist, click Choose file.
To add more than one checklist, click the plus icon next to your current checklist tab.
New versions of the checklist can be re-uploaded at any time for that specific checklist.
Checklists can be downloaded in Excel format, retaining all updates made within the project.
Share checklists
To share checklists with other groups and assign specific permissions, click Share in the top right of the screen.
Select the groups with whom you wish to share the checklist.
Choose the checklist permissions for the selected groups:
Opt to write a message or instructions for the selected recipients.
Once completed, click Share to confirm.
The recipients will be notified via email, including the checklist name and your message if added.
To amend permissions already set up, click any of the groups next to the Share button.
A modal will pop up displaying all the participants with access and their relevant permissions.
Here you can select from a group's corresponding permission dropdown. The changes are applied and saved automatically.
Edit checklist
Participants with Edit permissions can update checklists directly within the project. Once you have a checklist uploaded, you can edit certain parts of the Excel file. To get started, click Edit in the top panel.
ℹ️ To prevent conflicts, parallel editing is disabled, ensuring only one user can make changes at a time.
In the editing mode, you can find various options on the toolbar, and other basic functionalities that are commonly used in Excel spreadsheets.
The following actions are available when editing checklist directly in the project:
Editing the text in cells.
Copying and pasting content.
Editing text styles: font, color, alignment.
Editing cell format: number, text, link, date.
Selecting dropdown values if your Excel includes predefined dropdown options.
Resizing columns and rows.
Adding or deleting new columns and rows.
Inserting links: add any external link or select project document directly.
Once finished, make sure to click Save. The changes become visible immediately to all authorized users.
Tracking checklist activity
Every action related to the checklist is tracked and logged in the Activity log, including:
Uploading and downloading checklists.
Edits made (specific changes are not detailed).
Sharing or modifying permissions for the checklist.
This ensures complete transparency and accountability during the due diligence process.
